Terms of Service

1 The Service

FinX is a personal finance analytics platform operated by Stack Innovations Limited (NZBN: 9429053630445). FinX allows you to:

• Manually track investment portfolios, property, stocks, expenses, debts, and savings goals
• View aggregated market data for publicly traded securities, including stocks listed on international exchanges (NZX .NZ, ASX .AX, LSE .L, HKEX .HK, TSE .T, and others) alongside US-listed securities
• Set bill reminders and price alerts
• Receive web push notifications for price alerts, bill reminders, and security events (opt-in in your account settings)
• Enable two-factor authentication with optional trusted-device sessions of up to 30 days
• Access AI-powered budget, savings, tax, and equity summaries (with consent — see Section 4)

2 Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into contracts to use FinX. By creating an account, you represent that this is the case.

Account security

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately at support@stackinnovations.co.nz if you suspect unauthorised access. We recommend enabling two-factor authentication.

Accurate information

You agree to provide accurate, complete registration information and to keep it up to date. Accounts using false information may be suspended.

3 Not Financial Advice — FMC Act Disclosure

We are not a licensed Financial Advice Provider (FAP). Market data, portfolio analytics, and AI-generated insights are provided for informational and educational purposes only. They do not take into account your individual financial circumstances, goals, or risk tolerance.

You should consult a licensed financial adviser before making any investment, lending, or financial planning decisions.

Market data displayed on FinX is sourced from third-party providers and may be delayed. We do not guarantee its accuracy or completeness. Past performance shown in the application is not indicative of future results.

4 AI-Powered Features

FinX includes optional AI features (budget insights, tax guidance, savings-goal insights, and per-stock equity analysis) that require your explicit consent to activate. By enabling these features, you acknowledge:

• Aggregated summaries of your financial data will be processed by a third-party AI model
• AI output is generated automatically and has not been reviewed or verified by a human financial expert
• AI output does not constitute regulated financial advice (see Section 3)
• You may withdraw your consent at any time in your account settings, which will immediately disable AI features

We record a timestamped audit trail of AI features served to your account, including the model version and a hash of the input, to comply with our recordkeeping obligations under the FMC Act.

5 Subscriptions and Billing

Paid plans

FinX is offered on a tiered model: a Free plan and paid plans (currently Starter and Pro). Paid subscriptions are billed monthly or annually as indicated at checkout. Payments are processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

Cancellation

You may cancel or manage your subscription at any time from Settings → Billing, which opens the Stripe billing portal. Your access will continue until the end of the current billing period. We do not provide refunds for partial periods unless required by the Consumer Guarantees Act 1993 or Fair Trading Act 1986.

Price changes

We will give you at least 30 days' notice of any price change by email. Continued use after the effective date constitutes acceptance of the new price.

Failed payments

If a payment fails, we will mark your subscription as past due immediately and notify you by email. Stripe will then retry the payment automatically over its standard recovery period (typically two to three weeks). If the payment cannot be recovered within that period, your subscription will be cancelled and your account will revert to the Free plan.

6 Acceptable Use

You agree not to:

• Use FinX for any unlawful purpose or in violation of any applicable laws
• Attempt to circumvent authentication, access controls, or rate limits
• Reverse engineer, scrape, or extract data from FinX beyond normal use
• Use the data export endpoint at a rate inconsistent with personal use (for example, polling for bulk export in a loop). Excessive use may be rate-limited or treated as service abuse.
• Share your account credentials with other people
• Use the service to store information about persons other than yourself without their consent
• Use the AI-powered features in any way that constitutes regulated financial advice to a third party, or to circumvent the disclaimer in Section 3
• Submit prompts to the AI features that contain personal information about persons other than yourself
• Introduce malicious code, viruses, or disruptive content

We reserve the right to suspend or terminate accounts that violate these terms without refund.

7 Your Data

You own the financial data you enter into FinX. We do not claim ownership of your data.

You grant us a limited, non-exclusive licence to process your data solely to provide the FinX service to you and to comply with our legal obligations.

You may export all your data at any time (see Privacy Policy § 8) and delete your account at any time. The export is a JSON file containing your account profile, all financial data you have entered, your audit log entries, and metadata about your active sessions. 8 Intellectual Property

FinX, including its software, design, branding, and content (excluding your data), is owned by Stack Innovations Limited and protected by New Zealand and international intellectual property laws.

You may not copy, modify, distribute, or create derivative works from FinX without our express written permission.

9 Disclaimers

FinX is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that:

• The service will be uninterrupted, error-free, or available at any particular time
• Market data is accurate, complete, or current
• AI-generated content is accurate, suitable for your circumstances, or free from error
• The service will meet your specific requirements

Nothing in these Terms excludes rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot be excluded.

10 Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability to you for any claims arising out of or relating to your use of FinX is limited to the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) NZD $100.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.

We are not liable for any loss arising from your reliance on market data, AI-generated content, or other information provided through FinX for investment or financial decisions.

11 Indemnification

You agree to indemnify, defend, and hold harmless Stack Innovations Limited and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of FinX, your violation of these Terms, or your violation of any applicable law.

12 Termination

By you

You may close your account at any time from your account settings. This will anonymise your profile data and delete your financial data (audit records are retained as required by law).

By us

We may suspend or terminate your account immediately if you breach these Terms, we are required to by law, or we decide to discontinue the service. Where possible, we will provide 30 days' notice of service discontinuation.

Effect of termination

Sections 3, 8, 9, 10, 11, and 14 survive termination of these Terms.

13 Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email and/or by an in-app banner the next time you sign in, at least 14 days before the changes take effect. Your continued use of FinX after that date constitutes acceptance of the revised Terms.

14 Governing Law and Disputes

These Terms are governed by the laws of New Zealand. Any dispute arising from these Terms or your use of FinX shall be subject to the exclusive jurisdiction of the courts of New Zealand.

Before initiating formal legal proceedings, we ask that you contact us at support@stackinnovations.co.nz to attempt to resolve the dispute informally within 30 days.
